Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity) and Cirrus Inc. ("Cirrus," "we," "us," or "our") governing your access to and use of the CirrusTranslate platform ("Platform" or "Service").

By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

CirrusTranslate is an enterprise American Sign Language (ASL) translation platform that provides:

• Video and document translation workflow management
• AI-powered video processing and background removal
• Collaboration tools for translation teams
• Project and job management
• Secure file storage and delivery

3. Account Registration and Security

3.1 Account Creation

Access to the Platform requires an invitation from an authorized organization administrator. You must provide accurate, complete information during registration and maintain the accuracy of this information.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Enabling multi-factor authentication when available
• All activities that occur under your account
• Immediately notifying us of any unauthorized access

3.3 Password Requirements

Passwords must meet our security requirements: minimum 12 characters including uppercase, lowercase, numbers, and special characters.

4. Acceptable Use

4.1 Permitted Uses

You may use the Platform only for:

• Legitimate ASL translation and accessibility purposes
• Managing translation projects within your organization
• Collaborating with authorized team members
• Accessing features consistent with your subscription

4.2 Prohibited Uses

You may NOT:

• Upload content that infringes intellectual property rights
• Upload illegal, harmful, or objectionable content
• Attempt to gain unauthorized access to other accounts or systems
• Reverse engineer, decompile, or disassemble the Platform
• Use automated tools to scrape or extract data
• Interfere with the Platform's operation or security
• Share account credentials with unauthorized individuals
• Circumvent usage limits or access controls
• Use the Platform for competing product development

5. Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to content you upload ("User Content"). By uploading content, you grant us a limited license to process, store, and transmit it solely for providing the Service.

5.2 Platform Ownership

The Platform, including its software, design, features, and documentation, is owned by Cirrus and protected by intellectual property laws. Nothing in these Terms transfers ownership of the Platform to you.

5.3 Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during use of the Platform. This includes but is not limited to:

• Technical information about the Platform
• Business processes and workflows
• User content and project data
• Pricing and commercial terms

Confidentiality obligations survive termination of this agreement for 3 years.

7. Service Availability

7.1 Availability Target

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

7.2 Support

Technical support is available according to your organization's service agreement. Critical issues are addressed with priority.

8. Fees and Payment

Fees are determined by your organization's subscription agreement. Usage is tracked and billed according to that agreement. Your organization is responsible for all fees incurred by its users.

9. Termination

9.1 By You

You may stop using the Platform at any time. Contact your organization administrator to deactivate your account.

9.2 By Us

We may suspend or terminate access if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Pose a security risk to the Platform or other users

9.3 Effect of Termination

Upon termination, your access ends immediately. Your organization may request data export within 30 days. We may retain data as required by law or for legitimate business purposes.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the accuracy of AI-generated translations. Human review of translated content is recommended for critical use cases.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRRUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOUR ORGANIZATION IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold Cirrus harmless from claims arising from:

• Your use of the Platform
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days in advance. Continued use after changes constitutes acceptance.

15. General Provisions

• Entire Agreement: These Terms, along with the Privacy Policy and DPA, constitute the entire agreement.
• Severability: Invalid provisions will be modified to the minimum extent necessary.
• Waiver: Failure to enforce a provision is not a waiver of that right.
• Assignment: You may not assign these Terms without our consent.
